Corporate Attorney (Corporate Law + Litigation | Remote | Early Morning Shift)

Location: Remote (Philippines)

Schedule: 4:00 AM – 1:00/2:00 PM PHT

Employment Type: Full-Time (initially Independent Contractor → Employee Transition)

Monthly Salary Range: ₱70,000 – ₱120,000 (depending on experience & fit)

We are currently establishing and scaling our legal entity in the Philippines — and we’re looking for a Corporate Attorney who will serve as one of the foundational legal leaders of our Philippine operations.


This role is for an attorney who does more than “handle cases.”

About the Role

We are hiring a Corporate Attorney who can confidently handle:

  • Corporate formation & governance
  • SEC / BIR compliance and legal structuring
  • Corporate secretarial requirements
  • Contracts, risk management, and legal documentation
  • Litigation handling or coordination — particularly defamation / reputational disputes


You will work closely with leadership to ensure that ASG’s growth in the Philippines is built on strong legal foundations, clean governance, and strategic risk protection.

This is not a passive, “paperwork” legal role.

This is a seat-at-the-table role built for a lawyer who can operate in complexity and bring clarity, order, and protection to the organization.


Key Responsibilities

1) Corporate Formation & Governance

  • Lead and support the formation and registration of ASG Platform’s Philippine entity
  • Manage corporate secretarial duties:
  • statutory recordkeeping
  • board resolutions
  • secretary’s certificates
  • governance documentation
  • Oversee and maintain SEC compliance filings (e.g., GIS, AFS, etc.)

2) Compliance & Advisory

  • Provide day-to-day legal guidance to leadership across:
  • corporate structuring
  • commercial risk
  • governance and compliance
  • regulatory requirements
  • Ensure compliance with Philippine laws including:
  • corporate governance
  • labor regulations
  • data privacy
  • tax-related compliance and filings (as applicable)

3) Litigation & Reputation Protection

  • Handle or coordinate legal disputes and litigation, including:
  • online defamation / libel cases
  • reputation protection disputes
  • false claims or misinformation involving the organization
  • Prepare or supervise pleadings, motions, affidavits, and case documentation
  • Coordinate with external counsel when cases require additional support

4) Contracts & Legal Documentation

  • Draft, review, and negotiate:
  • vendor agreements
  • NDAs
  • commercial contracts
  • employment and policy-related documents
  • Ensure documents reflect the company’s risk posture and long-term priorities

5) Cross-Border Collaboration

  • Work closely with both U.S. and Philippine leadership
  • Communicate clearly and professionally in English for global alignment
  • Maintain confidentiality, strong ethics, and independent judgment


Qualifications (Non-Negotiable)

  • Licensed Philippine attorney
  • Member in good standing with the Integrated Bar of the Philippines (IBP)
  • MCLE-compliant
  • Strong command of English (written & verbal)
  • Proven experience in:
  • corporate law / commercial law
  • contract drafting & review
  • SEC registration + corporate filings
  • Capable of managing or coordinating litigation matters
  • (especially defamation / reputational disputes)


Preferred Profile (Strong Advantage)

  • Experience supporting entity formation for foreign or multinational organizations
  • Familiarity with:
  • labor compliance
  • data privacy governance
  • IP-related matters
  • Comfortable doing government transactions or filings when needed
  • (SEC / BIR / DOLE / NPC, etc.)
  • Located outside Metro Manila (Cebu, Davao, or provincial areas preferred)


Work Setup & Schedule

  • Remote role (Philippines-based)
  • Early Morning Shift: 4:00 AM – 1:00/2:00 PM PHT
  • (supports overlap with the U.S. team and daytime access to government offices)


Compensation & Growth

  • Monthly Pay - ₱70,000 – ₱120,000 / month (depending on experience and performance)
